乙方有下列情形之一时，甲方有权解除合同：

(1)擅自改变商铺的使用性质;

(2)擅自转租、转让商铺或利用商铺从事非法经营活动;

(3)逾期交纳租金，经甲方限期交纳后仍拒不交纳者;

(4)乙方严重违反相关纪律的有关规章制度不听规劝者。

甲方必须尊重乙方的经营权利，不得以监督为名干涉乙方的正当经营活动。

甲方必须给予乙方以同本店商铺*等的一切经营条件，为乙方的经营活动提供方便。

第七条　乙方的权利、义务

乙方在经营范围所从事的经营活动，不受甲方干预。

乙方有权要求甲方提供一切开展正常营业活动所必需的条件。

乙方对于租用的商铺只有使用权，没有所有权，不准以任何形式进行转租，转让(个体工商户的承租经营人员必须是营业执照上核准的人员)。

乙方不得利用商铺从事非法经营，其经营活动不得超出其营业执照规定的经营范围，也不得超出甲方的经营范围。

乙方不得以甲方的名义从事经营活动，必须持证经营。乙方的商品销售活动必须实行现货交易，不准开展预收款式的预售或代购、代销业务。

乙方必须爱护商铺设备，在租赁期间如损坏所租赁商铺设备，必须承担修复或赔偿责任。

乙方必须遵守甲方的店堂纪律，端正经营态度，文明经商，礼貌待客，遵守安全消防规则，维护店容卫生。

第八条　担保方的权利、义务

担保方有权对乙方的经营情况进行了解，有权要求乙方依法经营和遵守相关纪律、规章制度，要求乙方按期向甲方交纳租金。

乙方如不按期、按规定数量交纳租金，并经甲方催交仍拒不交纳时，甲方有权要求担保方代为交纳租金。担保方对此承担连带经济责任。担保方代交纳后，有权要求乙方偿付代交租金。

第九条　合同的变更与解除

租赁期满未能续租或合同因解除等原因提前终止的，乙方应当于租赁期满或合同终止后________日内将租赁的商铺及甲方提供的配套设施以良好、适租的状态交还甲方。乙方拒不交还的，甲方有权采取必要措施予以收回，由此造成的损失由乙方承担。

乙方在租赁期内确需中途退租，应提前一个月向甲方提出书面申请，经甲方同意后，乙方须缴清应缴费用，乙方所交保证金无偿归甲方。

第十条　续租

乙方若要求在租赁期满后继续租赁该处商铺的，应当在租赁期满前________日书面通知甲方，甲方应当在租赁期满前对是否同意续租作出书面答复。如甲方同意续租的，双方应当重新订立租赁合同。租赁期满前甲方未作出书面答复的，视为甲方同意续租，租期为不定期，租金同本合同。

第十一条　违约金和违约责任

若甲方在乙方没有违反本合同的情况下提前解除合同，视为甲方违约，按甲方解除合同之日起到合同期满之间租金的________%作为违约金支付给乙方。

若乙方拖欠租金________天以上，视为乙方违约，甲方有权终止本合同，乙方从拖欠租金的第二天起到合同期满之间租金的________%作为违约金支付给甲方。

第十二条　声明及保证

在签署本合同时，任何法院、仲裁机构、行政机关或监管机构均未作出任何足以对甲方履行本合同产生重大不利影响的判决、裁定、裁决或具体行政行为。

甲方为签署本合同所需的内部授权程序均已完成，本合同的签署人是甲方的法定代表人或授权代表人。本合同生效后即对合同双方具有法律约束力。

乙方：

第十四条　不可抗力

本合同所称不可抗力是指不能预见、不能克服、不能避免并对一方当事人造成重大影响的客观事件，包括但不限于自然灾害如洪水、地震、火灾和风暴等以及社会事件如战争、动乱、*行为等。

如因不可抗力或*有关部门征用等原因，确需收回商铺时，甲方须提前一个月通知乙方。乙方应无条件按甲方要求交还商铺，所缴的保证金在扣清乙方应缴的费用后，将余额退回乙方(不计息)，如保证金不足抵缴乙方所应交的费用，则由乙方补足差额。

第十五条　通知

根据本合同需要发出的全部通知以及双方的文件往来及与本合同有关的通知和要求等，必须用书面形式，可采用________(书信、传真、电报、当面送交等方式)传递。以上方式无法送达的，方可采取公告送达的方式。
